These terms govern your use of the Lanna Drift website and, together with any engagement letter you receive, the basis on which we provide consulting services.

1. About These Terms
These Terms and Conditions ("Terms") apply to your use of the website located at lanna-drift.live (the "Website") and to any consulting services you engage Lanna Drift Co., Ltd. to provide ("Services"). By accessing the Website or submitting an enquiry, you confirm that you have read and accepted these Terms.
Lanna Drift Co., Ltd. is a company registered in Chiang Mai, Thailand, with its principal place of business at 17 Nimmanhaemin Road, Suthep, Chiang Mai 50200 ("Lanna Drift", "we", "us", or "our").

We make reasonable efforts to keep the information on the Website accurate and current. However, Website content is provided for general informational purposes only and does not constitute professional advice. You should seek specific advice before making decisions based on anything you read here.
2.3 Prohibited Conduct
When using the Website, you agree not to:

3. Consulting Services
3.1 Engagement Agreement
When you engage Lanna Drift to provide consulting services, the specific scope, deliverables, timeline, and fees will be set out in a written engagement letter ("Engagement Letter") which we will send to you before work commences. These Terms apply alongside the Engagement Letter. In the event of conflict, the Engagement Letter will take precedence on matters specific to the engagement.
3.2 Scope of Services
Our consulting programmes — the Small Enterprise Health Check, the Brand Positioning Workshop, and the Supply Chain Resilience Review — are described on our website for indicative purposes. The precise scope of each engagement will be agreed and documented in your Engagement Letter. We may also provide customised engagements tailored to your situation.
3.3 Client Cooperation
The quality and usefulness of our work depends in part on the information, access, and cooperation you provide. You agree to supply accurate and complete information relevant to the engagement, make key personnel available for sessions or interviews at agreed times, and review and provide feedback on interim materials within agreed timescales. We will not be responsible for shortcomings in deliverables attributable to incomplete or inaccurate information provided by you.
3.4 Changes to Scope
If the scope of the engagement changes materially during the project, we will discuss the implications with you and document any changes in writing before proceeding. Additional work outside the original scope may be subject to additional fees.
4. Fees and Payment
4.1 Fees
Fees for our consulting programmes are published on our website for indicative purposes and are confirmed in your Engagement Letter. All fees are quoted in Thai Baht (฿) and are exclusive of any applicable taxes unless otherwise stated.
4.2 Payment Terms
Unless otherwise agreed in your Engagement Letter, payment terms are as follows:
- A deposit of 50% of the total engagement fee is due before work commences
- The remaining balance is due on delivery of the final deliverable(s)
- Invoices are payable within 14 calendar days of issue
4.3 Late Payment
We reserve the right to suspend work on an engagement if an invoice remains unpaid beyond the agreed payment date. We may also charge a late payment fee of 1.5% per month on any overdue balances, calculated from the due date.
4.4 Expenses
Reasonable out-of-pocket expenses incurred in the delivery of your engagement (such as travel outside Chiang Mai, accommodation, or venue hire) will be agreed with you in advance and billed at cost.
5. Cancellation and Postponement
5.1 Cancellation by Client
If you wish to cancel a confirmed engagement, please notify us in writing as soon as possible. Our cancellation policy is as follows:
- Cancellation more than 14 days before the agreed start date: deposit refunded in full
- Cancellation between 7 and 14 days before the agreed start date: 50% of the deposit is refunded
- Cancellation fewer than 7 days before the agreed start date: the deposit is non-refundable
Where work is already underway at the time of cancellation, we will invoice for the proportion of work completed up to that point.
5.2 Postponement
Where you wish to postpone rather than cancel an engagement, we will make reasonable efforts to accommodate the new timing. Deposits paid remain applicable to the rescheduled engagement. If the postponement extends beyond 90 days, we reserve the right to re-price the engagement.
5.3 Cancellation by Lanna Drift
In unusual circumstances — such as the unavailability of our key personnel due to illness — we may need to postpone or cancel a confirmed engagement. In such cases, we will give you as much notice as possible and will offer a full refund of any deposit paid or agree alternative dates at your discretion.
6. Intellectual Property
6.1 Pre-Existing Materials
Any methodologies, frameworks, templates, or tools that we bring to an engagement and that were developed independently of your project ("Background Materials") remain the intellectual property of Lanna Drift. We grant you a non-exclusive, non-transferable licence to use Background Materials incorporated into your deliverables for internal business purposes.
6.2 Deliverables
Upon receipt of full payment for an engagement, intellectual property rights in the specific deliverables prepared for you as part of that engagement (such as reports, frameworks, or documents created uniquely for your business) will transfer to you. For the avoidance of doubt, general methodologies and approaches remain with Lanna Drift.
6.3 Website Content
All content on this Website — including text, graphics, logos, and visual design — is owned by or licensed to Lanna Drift. You may not reproduce, adapt, distribute, or create derivative works from Website content without our prior written consent.
7. Confidentiality
We treat all information shared with us during an engagement as confidential and will not disclose it to third parties without your consent, except where required by law. This obligation persists after the conclusion of the engagement. Where appropriate, we are willing to enter a formal non-disclosure agreement at your request.
We may reference your business as a client in general terms (for example, noting the sector and type of engagement) on our website or in marketing materials unless you ask us not to. We will not share specific details about your business, strategies, or challenges without your prior written approval.
8. Limitation of Liability
8.1 Nature of Consulting Advice
Our consulting services produce recommendations and analysis based on the information available at the time of the engagement. Implementation of recommendations, and the outcomes that result, remain the responsibility of your organisation. We do not accept responsibility for decisions made by your business based on our advice.
8.2 Liability Cap
To the extent permitted by applicable Thai law, our total aggregate liability to you in connection with any engagement — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you for that engagement.
8.3 Exclusions
We shall not be liable for any indirect, consequential, or special losses, including loss of profit, loss of contracts, or loss of business opportunity, even if we were advised of the possibility of such losses.
8.4 No Exclusion of Statutory Rights
Nothing in these Terms limits or excludes liability for fraud, death, personal injury, or any other matter that cannot be excluded under Thai law.
9. Third-Party Links and Resources
The Website may contain links to external websites and resources. These links are provided for convenience only. We have no control over the content of external sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
10. Privacy and Data Protection
Our collection and use of personal data in connection with the Website and our Services is governed by our Privacy Policy. By using the Website or engaging our Services, you acknowledge the privacy practices described in that policy.
11. Governing Law and Disputes
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Thailand. The parties agree that the courts of Chiang Mai, Thailand, shall have non-exclusive jurisdiction to settle any such dispute or claim.
We would always prefer to resolve any concerns informally before formal proceedings are initiated. If you have a concern, please contact us directly so we can work towards a mutually agreeable resolution.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices or in applicable law. The "Last Updated" date at the top of this page indicates when the Terms were last revised. If we make material changes, we will endeavour to notify you where we have your contact details. Continued use of the Website following the posting of revised Terms constitutes your acceptance of the updated Terms.
13. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
14. Entire Agreement
These Terms, together with any applicable Engagement Letter and our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lanna Drift in respect of your use of the Website and the provision of Services.
